Live Selling Terms and Conditions
Effective date: 24 October 2026 | Last updated: 24 October 2026
These Live Selling Terms (“Live Selling Terms“) are an agreement between you, the shop (“Merchant“, “you“, “your“), and vBuy Ltd (“vBuy“, “we“, “us“, “our“), a company registered in England and Wales (company number 16723284) of 20 Wenlock Road, London N1 7GU. They add to the Merchant Terms of Use and the Terms and Conditions of the Platform. Where they differ on live selling, these Live Selling Terms win. You agree to them when you apply for Live Selling, and they apply every time you use it.

1. Words We Use
Words defined in the Merchant Terms of Use keep their meaning. In these Live Selling Terms:
- “Show” means a live video broadcast by you on the Platform in which you show and sell your offers.
- “Studio” means the screen in your Store Manager from which you prepare, run and end a Show.
- “Line-up” means the offers (and options of offers) you choose for a Show, with the units of each set aside for it (“Show Units“).
- “Show Price” means the price you set for an offer in a Show. It applies in that Show only.
- “Viewer” means anyone who watches a Show, signed in or not.
- “Helper” means a customer who has accepted your invitation to help moderate the chat of your Shows.
- “Go-live Fee” means the fee for a Show, paid in v£ from your Acceptance Wallet.
- “Recording” means the recording vBuy makes of your video and sound during a Show.
2. Who Can Go Live
2.1 Live Selling needs its own approval from vBuy, on top of your approval as a Merchant. You apply from Store Manager → Live Selling. vBuy may approve or refuse an application, and may remove your access later. You are told by email, with a note where vBuy gives one. If you are refused or your access is removed, you may apply again.
2.2 To be approved you must be an approved vBuy Merchant with a business address in the United Kingdom on record. While vBuy runs its test phase it may also approve shops of its testers that were approved before the UK rule applied, without a UK business address. This exception ends when vBuy switches it off; from then on every shop needs a UK business address to start a Show.
2.3 You may only show and sell your own offers. You need delivery methods for the offers you show, for each region you want to sell to. Buyers whose parcel crosses a customs border (United Kingdom, European Union, United States) see a notice that import charges may apply.
2.4 You can run one Show at a time. While your offers are suspended because your Distribution Wallet is too low (see the Merchant Terms of Use), you cannot start a Show, and the offers in a Show that is already running stop being buyable until the suspension ends.
2.5 If your Live Selling access is removed while a Show is running, the Show ends at once.
3. Fees and Show Time
3.1 Free Shows. Your first Shows are free (currently your first 3). Only Shows that really start count as free Shows.
3.2 Go-live Fee. After your free Shows, each Show costs the Go-live Fee (currently v£5.00, or the amount vBuy has agreed with you). It is paid from the v£ in your Acceptance Wallet that may be spent on the Platform (Merchant Terms of Use, section 12.3). The fee is fixed when you press Go live and held in your Acceptance Wallet. It is charged only once vBuy’s video service confirms your video is live. If your video does not start within 10 minutes, the start is cancelled and the held fee is released. If you do not have enough v£ that may be spent, you cannot go live.
3.3 Show time. The Go-live Fee (or a free Show) covers a set time on air (currently 60 minutes). In the Studio you can buy extra time with “+1 hour” (currently v£5.00 an hour, also during a free Show). Each extra hour is charged at once from the same v£ and cannot be undone by you. A Show cannot run longer than the maximum length (currently 4 hours, extra hours included). The Studio warns you 10 minutes and 2 minutes before the end.
3.4 How a Show ends. A Show ends when you end it, when its time runs out, when your video has been gone for more than 5 minutes, or when vBuy ends it (sections 2.5 and 8.6). If your connection drops and you return within 5 minutes, the same Show continues.
3.5 No automatic refunds. Fees are not refunded because a Show had few viewers or few sales, or because of a problem with your own equipment or connection. If a Show ends early through no fault of yours (for example a fault on vBuy’s side), vBuy may give back the Go-live Fee, a free Show or an extra hour, once, at its discretion.
3.6 Fee changes. vBuy gives you at least 14 days’ notice before it raises a fee or reduces the number of free Shows or the time included. The current figures are shown on your Live Selling page before you apply.
4. Your Line-up and Stock
4.1 Before a Show you choose its Line-up: your offers, the Show Units of each and a Show Price. When you press Go live, the Show Units leave your normal stock, so your normal shop shows fewer units (or “out of stock”) while the Show runs. If you have fewer units in stock than planned, the Show gets the units you have.
4.2 Unsold Show Units go back to your normal stock when the Show ends or its start is cancelled. A unit that a buyer started to pay for but did not pay for goes back to the Show while it runs, otherwise to your stock.
4.3 During a Show you may add offers, add units from your normal stock, reduce units (never below the units sold) or remove an offer (its unsold units go back at once). Once an offer has sold out in a Show it cannot be topped up in that Show.
4.4 Stock counts shown to viewers (“N left in this show”) are real. You must not hold back stock to make an offer look scarcer than it is, and you must be able to dispatch every unit you sell.
4.5 Show Units keep counting towards the rewards you have promised (see the Merchant Terms of Use), at the Show Price.
5. Show Prices
5.1 A Show Price applies in that Show only. Your normal price and the featured offer elsewhere on the Platform do not change. Every change of a Show Price is recorded in the Show’s history.
5.2 A Show Price may be higher or lower than your normal price. You must not call a Show Price a saving, a deal, a discount or “only in this show” unless it is lower than your normal price for the same offer at that moment and really ends with the Show.
5.3 vBuy never shows “was” prices in Shows, and you must not state or show any “was”, “worth” or reference price.
5.4 You must honour the price on screen. A buyer always pays the Show Price shown to them when they confirm the purchase.
6. Buying in Your Show
6.1 Normal orders. Every purchase in a Show is a normal vBuy order, and every rule of the Merchant Terms of Use applies to it: the payment confirmed by vBuy before any v£ moves, the v£ reward paid from your Distribution Wallet, the locks on your Acceptance v£ until dispatch and after, dispatch and tracking, invoices, refunds, returns and disputes.
6.2 One unit per purchase. A buyer buys one unit at a time, either by confirming the purchase panel (“Pay £X”) or by one-tap buying, which buyers may switch on for themselves with a spending limit per Show. One-tap buying is the buyer’s choice; you cannot switch it on for anyone.
6.3 Reward cover. A purchase is refused before the buyer pays if your Distribution Wallet, less the rewards you already owe on unpaid Show orders, cannot cover its reward.
6.4 Other shops. Other Merchants may buy in your Show in shop shopping mode (Merchant Terms of Use, section 12.3). Their purchases earn no v£ rewards and you pay no reward on them.
6.5 Combined parcels. The first item a buyer buys from you in a Show pays the delivery for its parcel size. Further items the same buyer buys in the same Show, of the same parcel size and to the same address, go in the same parcel with £0.00 delivery, and you see them grouped as “Same parcel as #N”. Offers charged per item pay their own delivery. If an item is refunded, the delivery share stored for that item at payment is refunded with it (the parcel’s first item carries the delivery).
6.6 Buyers’ rights. Purchases in Shows are distance contracts. Consumers have their statutory rights, including the right to cancel within 14 days after they receive the goods (Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) and their rights under the Consumer Rights Act 2015. Any statement that a Show sale is “final”, “non-refundable” or “no returns” is void and a breach of these Live Selling Terms. You must not discourage or obstruct a buyer who wants to cancel or return an item.
6.7 You must not take orders, payments or contact details for sales outside the Platform during or after a Show.
7. Your Conduct and Content
7.1 You must comply with the laws of England and Wales and the United Kingdom during your Shows, including the Consumer Rights Act 2015, the Consumer Protection from Unfair Trading Regulations 2008, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Business Protection from Misleading Marketing Regulations 2008, the UK General Data Protection Regulation and the Data Protection Act 2018, the CAP Code of the Advertising Standards Authority and the Equality Act 2010.
7.2 You must describe and show your products truthfully, disclose defects and limitations, and not make health, performance or comparison claims you cannot prove. The product you show must be the product the buyer receives.
7.3 You must not put pressure on viewers: no false urgency, invented deadlines or countdowns, invented demand (“selling fast” when it is not), or tactics that take advantage of vulnerable people or push people to spend more than they intend.
7.4 You must not broadcast content that is sexually explicit, obscene, hateful or discriminatory, violent or harmful, defamatory or harassing, that promotes illegal activity, or that, in vBuy’s reasonable opinion, brings the Platform into disrepute. You must not promote tobacco, vaping products, prescription medicines, weapons, explosives or controlled substances. Alcohol and other age-restricted items may only be sold where you hold any licence needed, they are marked “Age check on delivery (18+)”, and you comply with the relevant codes.
7.5 Product safety. If you demonstrate a product, you do so safely and you are responsible for the demonstration. Products must comply with UK product safety law. You must state safety warnings, age limits and instructions for use before or during any demonstration.
7.6 Authenticity. All products must be genuine. For branded goods you must be able to show proof of supply (invoices, authorised distributor agreements or certificates of authenticity) within 5 working days of vBuy asking. If you cannot, vBuy may remove the offer and suspend your Live Selling access.
7.7 Prohibited practices. You must not, and must not let anyone else: buy in your own Shows or arrange for friends, staff or bots to buy, to create false demand (“shill buying”); inflate viewer numbers, chat or reactions; offer or arrange fake reviews; raise prices before a Show to “discount” them in it; use several accounts to get around a restriction; or misuse the v£ reward system through artificial or circular transactions.
7.8 Breaching section 7.7, or a serious breach of any other part of this section, entitles vBuy to act at once under section 15.
8. Chat and Moderation
8.1 Viewers who are signed in chat under a nickname; their real names are never shown. You chat under your business name with a “Shop” badge, and you can pin one message to your Show. Every message is checked against vBuy’s banned-words list before anyone sees it.
8.2 You are the host of your Show. You must take reasonable steps to keep its chat lawful, safe and friendly, using the tools in the Studio: Delete for everyone, Time out 10 minutes (no chatting in that Show for 10 minutes), Ban from this Show (no chatting or buying in that Show) and Ban from all your Shows (no chatting or buying in any of your Shows). Viewers can always keep watching. Nobody else is told when someone is timed out or banned. To time out or ban one of your Helpers, remove them as a Helper first. Nobody can moderate you in your own Show, or vBuy. On a phone the Studio hides the chat while you are on air: moderate from a computer or through your Helpers.
8.3 Helpers. You may invite up to 5 people who have chatted in your Shows to help moderate (invitations included). A person becomes a Helper only once they accept, and can step down at any time; you can remove a Helper at any time. Helpers can delete messages, time people out and ban them from your Shows, in all your Shows. You choose your Helpers and must remove a Helper who misuses these tools. Helpers are volunteers: they are not your staff or vBuy’s and are not paid.
8.4 You must use the tools fairly: to deal with messages that break the chat rules in the customer Terms and Conditions (section 13), not to silence fair questions or complaints about your products or service.
8.5 Anyone signed in can report a message to vBuy while the Show is running, once per message. A message reported by 3 different people with a confirmed email address is hidden until vBuy has looked at it. Your own messages are never hidden this way, but they can still be reported.
8.6 vBuy may delete or restore messages, lift or set time-outs and bans, ban an account from all live chat, and end any Show at any time if it reasonably believes the Show or its chat breaks these Live Selling Terms, the Platform’s terms or the law. Every moderation action is recorded in the Show’s history.
9. Recordings and Chat Records
9.1 vBuy records every Show: your video and sound. Viewers are not filmed. vBuy also keeps the Show’s chat messages, its history (Line-up changes, prices, sales, moderation actions) and its orders.
9.2 Recordings are kept for 180 days after the Show and then deleted, unless vBuy keeps one longer because a dispute, an investigation or the law requires it. Chat messages are kept for 180 days and then deleted.
9.3 Recordings and chat records are used only to resolve disputes and complaints, to investigate possible breaches of these Live Selling Terms or the law, and to answer lawful requests from regulators, the police or courts. They are not shown to the public and are not used in vBuy’s marketing.
9.4 Where a buyer and you disagree about what was shown, said or promised in a Show, the Recording and the chat record are the reference vBuy uses.
10. Data Protection
10.1 vBuy is the controller of the personal data processed for Shows: Viewers’ nicknames and chat messages, reports, moderation records, Recordings and Show orders. How vBuy uses it is explained in the Privacy Policy.
10.2 You receive a buyer’s name and delivery address for each order, as for any order, and may use them only to fulfil, deliver and support that order.
10.3 You must not ask Viewers for their email addresses, phone numbers, addresses or payment details in a Show or its chat, and must not record or copy Viewers’ messages for other uses.
10.4 If other people appear in your Show (staff, guests or members of the public), you must have their consent to appear and to be recorded, and you are responsible for what they say and do.
11. Intellectual Property and Music
11.1 You keep ownership of what you broadcast. You give vBuy a non-exclusive, royalty-free licence to transmit your Shows to Viewers, to record them and to keep and use the Recordings as described in section 9, and to let its service providers do so on its behalf. vBuy does not use your Shows or Recordings for marketing.
11.2 You must hold the rights to everything you broadcast, including product images, logos, trademarks, video and music. vBuy holds no music licence for your Shows: if you play music you need the licences required (for example from PPL and PRS for Music).
12. Technical Requirements
12.1 You broadcast from the Studio in an up-to-date web browser on a phone or computer with a camera and microphone. You are responsible for your devices and your connection.
12.2 vBuy provides Live Selling on an “as is” and “as available” basis, using third-party video services. It does not promise that Shows will be uninterrupted or free of delay, video or chat faults, or that viewer counts are exact.
13. Chargebacks and Disputes
13.1 If a buyer disputes a card payment for a Show purchase with their bank, vBuy follows the refund rules of the Merchant Terms of Use.
13.2 If a pattern of disputes, complaints or chargebacks points to your Shows (for example products that do not match what was shown, items not sent, or refunds refused), vBuy may suspend your Live Selling access while it investigates, and may use the steps in the Merchant Terms of Use to recover its losses.
14. Liability and Indemnity
14.1 Nothing in these Live Selling Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
14.2 Subject to section 14.1, vBuy’s total liability to you in connection with Live Selling, in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the Live Selling fees you paid in the 12 months before the event giving rise to the claim and (b) £100.
14.3 Subject to section 14.1, vBuy is not liable for indirect or consequential loss, loss of profit, revenue, sales, business or goodwill, loss of data, or losses caused by events beyond its reasonable control (including outages of third-party services, internet failures and cyberattacks).
14.4 You will reimburse vBuy for losses, costs (including reasonable legal costs), fines and claims that arise from your Shows or your breach of these Live Selling Terms, including claims about the products you sold or demonstrated, counterfeit or misdescribed goods, intellectual property or music, defamation or privacy, people appearing in your Shows, and regulatory action. vBuy will tell you promptly about any such claim.
14.5 vBuy recommends that you hold public liability and product liability insurance (and employers’ liability insurance if staff take part in your Shows).
15. Suspension, Ending Access and Appeals
15.1 vBuy may suspend or remove your Live Selling access at once if you breach these Live Selling Terms, if it receives a credible report of fraud, misrepresentation or counterfeit goods in connection with your Shows, if a regulator takes action about your Shows, if your Merchant account is suspended or closed, or if vBuy stops offering Live Selling. vBuy may warn you first but does not have to.
15.2 Fees already charged are not refunded when access is suspended or removed, except as section 3.5 allows.
15.3 You may appeal by contacting vBuy support. vBuy replies within 10 working days, and its decision on the appeal is final.
15.4 You may stop using Live Selling at any time. Sections 9, 10, 14 and 17 continue to apply after you stop.
16. Changes to These Terms
16.1 vBuy may change these Live Selling Terms by giving you at least 14 days’ notice by email or on the Platform. If you do not agree, you must stop using Live Selling before the change takes effect; if you continue, the changed terms apply.
17. Law and Courts
17.1 These Live Selling Terms and any dispute about them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
